Translators Agreement - Terms and Conditions

This Agreement ("Agreement") is entered into between SyrGo ("Company") and the service provider ("Translator") as of the date of formal signing.

1. Services and Scope of Work:

  • Translator agrees to provide sworn translation services to Company as requested.
  • The scope of work includes translating documents from Arabic to other languages or vice versa, ensuring accuracy and adherence to legal standards.
  • The Translator acknowledges and takes responsibility for ensuring that all necessary information and requirements for completing the translation service are communicated clearly. Any ambiguity or uncertainty regarding the scope of work or client expectations shall be addressed promptly to ensure a smooth and satisfactory translation process.

2. Compensation:

  • The Translator will be compensated as per the agreed-upon rate for each translated document.
  • Payments will be processed by the Company within 5 working days after the completion and approval of translations.
  • If a mistake occurs due to an error on the part of the Translator, resulting in a financial loss for the client, the Translator agrees to take financial responsibility for the incurred budget loss.
  • In cases where the mistake is not attributable to the Translator’s error, and a refund is initiated for services paid, the Translator shall be reimbursed the fees paid for the service.

3. Legal Authorization:

  • Translator explicitly warrants and represents that they are officially authorized by the government of their respective country to provide sworn translation services.
  • Translator is responsible for ensuring that their work complies with all applicable laws and regulations.

4. Quality Assurance:

  • Translator warrants that all translations will be accurate and reflect the meaning of the original documents faithfully.
  • Revisions, if necessary, will be promptly undertaken by Translator at no additional cost.

5. Timeliness:

  • Translator agrees to deliver translations within the agreed-upon timeframe.
  • Delays must be communicated in advance, and alternate delivery timelines may be negotiated.

6. Ownership and Rights:

  • The translated documents become the property of Company upon completion, and Translator waives any claims to ownership.
  • Company has the right to publish, reproduce, or distribute the translated content as needed.

7. Confidentiality:

  • Translator acknowledges the sensitive nature of the documents and agrees to maintain strict confidentiality.
  • Any information obtained during the translation process shall not be disclosed to third parties.

8. Termination:

  • Either party may terminate this agreement with written notice if the other party breaches any material term.

9. Governing Law:

  • This Agreement shall be governed by and construed in accordance with the laws of Jurisdiction.

10. Independent Contractor:

  • The Translator is an independent contractor and not an employee of the Company. No employment benefits are provided.
  • The status of this arrangement may be subject to change based on the demand for services and mutual agreement between both parties after the service launch.

11. Miscellaneous:

  • Any modifications to this Agreement must be in writing and signed by both parties.
  • This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.
